| Eligibility |
| 1. |
The promotional period is between 18 November 2008 and 28 February 2009, both dates inclusive (the “Promotional Period”). |

The promotional offers will not be available to existing Commercial Banking customers or Commercial Banking customers who have terminated any company account (except insurance and/or MPF products offered by HSBC Insurance (Asia) Limited) with The Hongkong and Shanghai Banking Corporation Limited (the “Bank”) between 18 November 2007 and 28 February 2009 (both dates inclusive). |

The promotional offers are only available to new customers who successfully open an HSBC Business Direct account, with all the required documents submitted at the time of account opening. |
| 4. |
If a new customer is entitled to receive the promotional offer(s) under this promotion and is also entitled to other promotional offer(s) under another concurrent promotion run by the Bank with respect to an application for a new HSBC Business Direct account, the new customer is entitled to receive only one of the promotional offers of the highest value as determined by the Bank. |

| Gold-plated Ox Ornament (the “Ornament”) and Mobile Phone Offers (collectively referred to as the “Gifts”) |
| 5. |
To be eligible to receive the Ornament as described in more details in Paragraph 7, new customers must successfully apply for a HSBC Business Direct account within the Promotional Period and make at least two eligible non-counter transactions in the first two months† upon account opening.
† Eligible non-counter transactions include transactions conducted via Business Internet Banking, Business Phonebanking, ATMs, Cheque Deposit Machines and Cash Deposit Machines. Account enquiries will not be counted as non-counter transactions. These eligible transactions must be conducted in the first two months after the successful opening of the HSBC Business Direct account. |

Each new customer is entitled to receive a maximum of one gift under Paragraph 5, even if the new customer opens more than one HSBC Business Direct account. |

The Ornament as featured in the promotional material is not of actual size. The actual size is approximately 60 millimeters (length) x 39 millimeters (width) x 39 millimeters (height). The actual gift includes a transparent protective cover. |
| 8. |
A gift redemption letter in respect of the Ornament (the “Redemption Letter’) will be issued to eligible new customers within 10 weeks after the end of the two-month period upon account opening. |

In addition, one mobile phone offer coupon (the “Coupon”) will be given to customers upon successful account opening. Customers can enjoy the mobile phone offer as set out in the Coupon (subject to Terms and Conditions as set out on the Coupon) upon presentation of the Coupon at the outlets of the specified mobile phone service operators. Each new customer is entitled to receive a maximum of one coupon, even if the new customer opens more than one HSBC Business Direct account. |

| Redemption |
| 10. |
New customers who close their HSBC Business Direct account before the issuing of the Redemption Letter will not be entitled to receive any Ornament. |
| 11. |
The redemption details in respect of the Gifts, including the redemption method, redemption centre address and redemption deadline will be provided on the Redemption Letter to be issued by the Bank and/or the Coupon. |
| 12. |
The Redemption Letter will be sent to the HSBC Business Direct account holder’s statement address. |
| 13. |
The redemption of the Ornament must be made on or before the redemption deadline specified in the Redemption Letter. |
| 14. |
The Ornament is available while stocks last. The Bank reserves the right to replace the Ornament with other item(s) without further notice. In the event of an overwhelming response to this promotion, customers may experience some delays in receiving their Gifts. In such a case, the Bank will notify the affected customers of the relevant arrangements through a letter. |
| 15. |
Neither the Ornament nor the Coupon can be exchanged for cash. The manufacturer of the Ornament and the relevant mobile phone service providers are solely responsible for the quality and availability of the products or services supplied, and the Bank will not accept any liability in relation to them. The use of the Coupon may be subject to further terms and conditions imposed by the relevant mobile phone service providers. |

| General |
| 16. |
In case of disputes arising out of this promotion, the decision of the Bank shall be final. |
| 17. |
In case of discrepancies between the English and Chinese versions of these terms and conditions, the English version shall prevail. |
| 18. |
The Bank reserves the right to amend these terms and conditions at any time without prior notice. |
| 19. |
All the terms and conditions listed above are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. |
